1. Overview
These Terms of Service (“Terms”) govern the provision of the Resume Sending Service (“Service”) provided by Zocalo LLC (“Agency”). By subscribing to the Service, the client (“Client”) agrees to these Terms. Zocalo LLC is a recruiting agency that sources and vets candidates based on the agreed-upon criteria, delivering resumes on a weekly basis without facilitating the full recruitment process.

2. Scope of Services
Zocalo LLC agrees to:

• Provide two (2) resumes per week of candidates who meet the Client’s specified role requirements.
• Vet candidates based on:
• Basic qualifications as outlined in the job description.
• Location, ensuring candidates are within a commutable distance.
• Budget, ensuring candidates fall within the salary range provided by the Client.
• Provide resumes only where candidates have given explicit permission to share their information with Zocalo LLC’s network, in accordance with the Agency’s privacy policy.

3. Limitations of Service
Zocalo LLC will:

• Deliver only resumes that meet the criteria for basic qualifications, commutability, and budget.
• NOT schedule interviews or facilitate candidate communications beyond the delivery of resumes.
• NOT collect or provide any post-interview feedback or manage any other part of the recruitment process.

4. Client Responsibilities and Understanding
The Client acknowledges and agrees that:

• The Client is solely responsible for all aspects of the recruitment process after resumes are delivered, including but not limited to candidate communications, interview scheduling, offer negotiations, and onboarding.
• The Client is responsible for ensuring compliance with applicable employment laws during their recruitment process.
• The Client understands that after the referral is provided, the candidate may or may not be responsive to outreach from the Client for various reasons outside of Zocalo LLC’s control.

5. Fees and Payment Terms
The Service is provided on a subscription basis for $99 per month. The Client will receive two (2) resumes per week. The Client authorizes Zocalo LLC to charge the monthly fee at the start of each subscription period until the Service is canceled.

6. Cancellation Policy
The Client may cancel the Service at any time. Cancellations will take effect at the end of the current billing cycle, and the Client will continue to receive resumes until the cycle ends.

7. Zocalo LLC’s Right to Terminate Service
Zocalo LLC reserves the right to terminate the Service at any time, for any reason.

8. No Guarantee of Hire
Zocalo LLC makes no guarantee that the Client will hire any candidate provided through this Service. The Client assumes full responsibility for evaluating and assessing the suitability of all candidates.

9. Confidentiality
Both parties agree to keep all information exchanged, including candidate resumes and client job details, confidential and use such information only for the intended recruitment purposes.

10. Limitation of Liability
Zocalo LLC shall not be held liable for any general, special, consequential, incidental, exemplary, or other damages or expenses or lost profits to the Client or any other third parties resulting from or due to (a) the actions or inactions of referred candidates; or (b) reference information provided by Zocalo LLC to the Client at the Client’s request concerning referred candidates. Zocalo LLC shall not be responsible for any damages or losses arising from the Client’s use of the Service, including but not limited to the hiring decisions made based on the resumes provided.

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware.

12. Amendments
Zocalo LLC reserves the right to modify these Terms at any time. Any such modifications will be communicated to the Client in writing and will become effective upon acceptance by the Client.
